BY-LAWS
Revision of 1975 as amended


ARTICLE I
Membership, Dues and Fees

Section 1. There shall be six classes of Members:  Senior, Family, Junior, Advanced Senior, Non-Resident and Honorary.  All members shall be elected by the Board of Governors in such manner, and with such preliminary requirements as the Rules may provide.  Two negative votes shall exclude an applicant.

Section 2. (a) Any person twenty-one years of age or over is eligible for Senior membership. (b) Any married couple and widowed, divorced or separated person is eligible for Family membership. (c) Any person under 21 is considered a junior member subject to section 3. (d) Any Senior member who has reached the age of 60 years and has been a member for at least the two years immediately preceding and whose youngest child has reached his or her 21st birthday is eligible for Advanced Senior membership. (e) Any person who is a Senior or Family member, upon moving his residence to place fifty or more miles from the Club, is eligible for Non-Resident membership. (f) Any person who, in the judgment of the Board of Governors, should be so honored is eligible for Honorary membership such period as the Board of Governors shall from time to time determine.

Section 3. No person shall be eligible for Junior membership unless the head of his or her family is a Family member.  The Board of Governors may disregard this provision where no one is available for such Family membership.

Section 4. A Junior member, upon reaching the age of 21 shall automatically become a  Senior member unless he or she resigns prior to reaching such age limits.

Section 5. Dues and initiation fees, and payment thereof, shall be as prescribed by the Board of Governors, and set forth in the Rules.



ARTICLE II
Rights and Obligations of Members

Section 1. All members and their guests shall have the privilege of the Club buildings and grounds, subject to the Rules.

Section 2. All Senior, Advanced Senior and Family members, and no others, shall have the right to vote at all meetings of the Club upon all matters properly subject to action at such meetings.

Section 3. All Seniors, Advanced Senior and Family members, and no others, shall be eligible to be officers of the Club or members of the Board of Governors.  All Senior, Advanced Senior, Family and Junior members will be eligible for membership on all other committees and sub-committees.

Section 4. Any member may, by the affirmative vote of eight members of the Board of Governors, be admonished, suspended or expelled from membership by reason of non-payment of dues or any other indebtedness to the Club, or of violating the By-Laws or Rules, or of conduct deemed by the Board to be detrimental to the best interest of the Club, in accordance with such procedure as the rules may provide.

Section 5. All resignations shall be submitted in writing to the Board of Governors.  The Board may accept resignations subject to the Rules, but may reject the resignation of a member in arrears of dues or in any other manner indebted to the Club.

Section 6. Upon dissolution of the Club, the net assets thereof shall be distributed equally among all Senior, Advanced Senior and Family members in good standing at the time of the Club meeting at which dissolution is voted.

Section 7. No real estate owned by the Club shall be sold or mortgaged, or otherwise transferred or encumbered, except upon the affirmative vote of eight members of the Board of Governors and upon authority thereof granted either (a) at meeting of the Club by a two-thirds vote of the members present and entitled to vote or (b) by the written consent of two thirds of the Senior, Advanced Senior and Family members.



ARTICLE III
Board of Governors

Section 1. The governing body of the Club shall be a Board of Governors. The Board shall conduct the business of and shall have full management and control of the Club, subject to the By-Laws. There shall be eleven members, all of whom shall be Senior, Advanced Senior or Family members of the Club in good standing for a minimum of two years. One member of the Board shall be known as the Advisory member. Such member shall be the most recently retired President, or if he or she is unable, some other retiring Governor, or any other Senior, Advanced Senior or Family member, respectively. Such member shall act in an advisory capacity but shall have the same voting power as all other members of the Board.

Section 2. The Board of Governors shall hold at least one meeting each month if practical, but not less than one in every two months, except that no meetings need be held in July or August.  A quorum shall consist of seven members. The vote of a majority of those present shall be controlling on any question, except in cases where the By-Laws specifically require eight votes for a decision. In such cases a quorum shall consist of eight members.

Section 3. The Board of Governors shall have power to fill vacancies among Governors and officers until the annual meeting next following the occurrence of the vacancy. If the vacancy has occurred in a Governor’s term which does not expire at the time of such meeting, such vacancy shall be filled for the unexpired portion of the term by election at such meeting.

Section 4. All Governors except the Advisory members shall serve three years and until their successors are elected. Such governors shall be elected in rotation, three being elected each year, except that four shall be elected every third year. No such Governors shall be eligible for re-election until three years after the expiration of his or her term, except (a) after serving an unexpired term of not more than two years; or (b) to serve as Advisory member; or (c) to serve as President, whether it be a first or an additional term in such capacity. To hold the office of President one shall have been a member of the Club for a minimum of five years and shall have served or currently be serving as a Governor.

Section 5. The Advisory member shall serve for one year and until his or her successor is elected. Such member shall be ineligible for immediate re-election as Advisory member, except that he or she may succeed himself or herself in such capacity for one term if the President is re-elected for a successive term. Such member shall be ineligible for immediate re-election to the Board of Governors other than as Advisory member if he or she was a Governor during the year next preceding his or her service as Advisory member.

Section 6. Indemnification Against Liability. The Corporation shall indemnify and hold harmless each person who shall serve at any time hereafter as Governor or Officer of the Corporation from and against any and all claims and liabilities to which such person shall become subject by reason of his having heretofore or hereafter been a Governor or Officer of the Corporation, or by reason of any action alleged to have been heretofore or hereafter taken or omitted by him as such Governor or Officer, and shall reimburse each such person for all legal and other expenses reasonably incurred by him in connection with any such claim or liability; provided, however, that no such person shall be indemnified against, or be reimbursed for, any expense incurred in connection with any claim or liability arising out of his own negligence not related to acting or failing to act in his or her capacity as a Governor or Officer of the Corporation or his or her willfl misconduct.

The right accruing to any person under the foregoing provisions of this Article shall not exclude any other right to which he may be lawfully entitled, nor shall anything herein contained restrict the right of the Corporation to indemnify or reimburse such person in any proper case even though not specifically herein provided for.

 

ARTICLE IV
Officers

Section 1. The Officers of the Club shall be a President, a Vice President, a Secretary and a Treasurer, who shall hold office for one year until their successors are elected.

Section 2. It shall be the duty of the President to preside at all meetings of the Board of Governors and the Club; to call meetings of the Board and special meetings of the Club; and as chief executive officer of the Club, to perform all duties incident to his or her position.

Section 3. It shall be the duty of the Vice President to act as assistant to the President; in the absence of the President, to serve in his place; and to perform all other duties incident to the office of Vice President.

Section 4. It shall be the duty of the Secretary to maintain a record of all proceedings of the Board of Governors and the Club; to be responsible for maintenance of a list of members of the Club, and for the forwarding of all notices or communications required or authorized, or incident to the management of the Club, including any certificate concerning change in resident agent and any annual report required by statute; and to perform all other duties incident to his or her office. He or she shall cause a master copy of the By-Laws, and also of the Rules, as amended, to be kept with the minutes of meetings of the Board and the Club; and a second copy of the By-Laws and rules to be kept in the Steward’s booth, available for inspection by members. He or she shall be responsible for the corporate seal.

Section 5. It shall be the duty of the Treasurer to be responsible for and supervise the handling of all monies received or disbursed by or on account of the Club, maintenance of one or more bank accounts in the name of the Club and keeping Club monies therein and maintenance of all necessary and proper financial records, statements and accounts; to report on all financial matters to the Board of Governors and the Club from time to time; and to perform all other duties incident to his or her office.

Section 6. The Board of Governors may appoint such person or persons as assistant to the Secretary or assistant to the Treasurer or both as in its judgment are deemed necessary.

Section 7. Any Governor except the Advisory member shall be eligible to hold more than one office.

 

ARTICLE V
Committees

Section 1. The President with the approval of the Board of Governors at its first meeting after the annual meeting, shall designate Governors’ responsibilities for the next year.

Section 2. The President may establish such committees as he or she deems advisable.

 

ARTICLE VI
Nomination and Election of Governors and Officers

Section 1. The Nominating Committee shall consist of five members: A current Governor who shall be the chairperson and four Senior, Advanced Senior or Family members in good standing for minimum of three years selected from among those members who have held committee or event chair positions within the last three years. Within 90 days following the annual meeting, the President shall appoint the chairperson who shall then appoint the other Committee members.
These appointments shall be made, with the approval of no less than eight affirmative votes of the Board of Governors, by no later than the July Board meeting. The appointment to the Committee shall be for one year. A member may reappointed for no more than one additional consecutive year. No current Governor, except the chairperson, shall be eligible to serve on this committee; family members of current Governors are also ineligible. No member of the Committee or members of his or her immediate family shall be eligible for nomination to the Board of Governors.

Section 2. The Nominating Committee shall identify, evaluate and nominate candidates to serve as Governors, Officers and, where the most recently retired President is not available, as an Advisory member. Candidates shall be selected based on their organizational ability, skills and experience appropriate to the needs of the Club and the Board of Governors. These nominations shall be posted over the signature of the committee upon the Club bulletin board not less than three weeks prior to the annual meeting. The Secretary shall include weeks prior to the annual meeting. The Secretary shall include a list of these nominations in the annual meeting notice.

Section 3. Any other twenty or more Senior, Advanced Senior or Family members may nominate candidates for the positions immediately above mentioned, and shall post such nominations on the Club bulletin board over the signatures of such members not less than ten days prior to the annual meeting.

Section 4. No person whose name is not posted as provided in sections 2 and 3 shall be a candidate for election at the annual meeting.

Section 5. At the annual meeting, election of all candidates shall be by vote of a majority of those present and entitled to vote, except as provided in Article III, Section 4 (c). All newly designated Governors shall assume office immediately upon the election of Governors. Thereafter, the Officers shall be elected from among the Governors other than the Advisory member, and shall assume office immediately upon election.



ARTICLE VII
Meetings of the Club

Section 1. The annual meeting of the Club shall be held at the Club House on the second or third Wednesday in November of each year. In case the meeting cannot be held in the Club House, the Board may approve holding the meeting using an electronic platform.  Fifty members entitled to vote shall constitute a quorum. Notice of this meeting shall be posted on the Club Bulletin Board and sent to all Senior, Advanced Senior, and Family members not less than three weeks prior to the meeting.

Section 2. Special meetings of the Club may be called by the President at any time, and shall be called by him or her upon the written request of twenty or more Senior, Advance Senior or Family members. Fifty members entitled to vote shall constitute a quorum.  The call for such meetings shall be by notice posted on the Club Bulletin Board and sent to all Senior, Advanced Senior and Family members not less than three weeks prior to the meeting. Such notice shall state the business of the meeting and only such business shall be considered.

Section 3. The following order of business, unless waived by a vote of two-thirds of those present and entitled to vote, shall be observed at all meetings of the Club.
              1. Reading of minutes of next previous Club meeting
              2. Reports
              3. Deferred business
              4. Elections
              5. New business

Section 4. Robert’s Rule of Order shall be followed at the Club meetings. Failure to do so shall not invalidate the proceedings.



ARTICLE VIII
Rules

Section 1. The Board of Governors shall have power, by the affirmative vote of eight of their number, to make or amend Rules, not inconsistent with the Certificate of Incorporation or By-Laws, on all matters mentioned in, concerning or arising out of the Certificate or By-Laws, and on all other matters where necessary or proper for the management of the Club.
 

 

ARTICLE IX
Amendment and Interpretation of By-Laws

Section 1. Amendments to or alterations of the By-Laws may be made at any meeting of the Club.

Section 2. No such amendment or alteration shall be voted upon at any such meeting unless (a) the amendment or alteration is first proposed by the affirmative vote of eight members of the Board of Governors or by twenty or more Senior, Advanced Senior or Family members in writing delivered to the Board, and (b) a copy of the proposed amendment or alteration is included in the notice of the meeting.

Section 3. No such amendment or alteration shall become effective except upon the affirmative vote at such meeting of two-thirds of the members present and entitled to vote.

Section 4. Power to interpret the By-Laws, where their meaning is uncertain or ambiguous, shall rest solely in the Board of Governors.


 

ENGLEWOOD FIELD CLUB
RULES
1949 (As Amended)




Membership

The responsibility for the completion of requirements for a prospective new member shall rest upon the proposer of a candidate of membership.  The proposer shall have been a Senior or Family member for a minimum of one year.  Generally a member may propose only two candidates and may second only two candidates for membership during any calendar year.
           
When desiring to propose a new member, the proposer should contact the Membership Governor requesting an Information Form.  This Information Form will provide background material about the candidate and should be returned to the Membership Governor when completed along with a proposing letter.  The proposing letter shall recommend the candidate on the basis of desirability as a member, starting in reasonable detail the extent and duration of the writer’s knowledge of the person or persons recommended.  The proposing letter also shall identify a seconder who is willing to write a letter of support and three additional members who may be contacted by the Membership Committee (by phone or in person), and who will provide endorsements (verbally or in writing if they prefer) for the candidate.  The seconder and all endorsers shall be Senior or Family members.
           
Following initial review by the Membership Committee of the information provided by the proposer, the Membership Governor shall request the proposer to introduce his or her candidate to at least three current or immediate past members of the Board of Governors.  A seconding letter shall be submitted to the Membership Governor.
           
Upon election to Membership, the newly elected Member will be sent a formal Acceptance of Membership to sign and return to the Club’s office.
           
It shall be the responsibility of any member to advise the Club of any change of membership status in order for the Board of Governors to approve that change.  See ARTICLE I, Section 2 of the By-Laws.  Failure to do so will be reason for the Board to suspend or expel said member.
                       
It shall be the responsibility of any Junior or Senior member to notify the Club immediately when he or she marries.  Should said marriage be to a non-member, application for his or her spouse is to be made immediately.
           
It shall be the responsibility of each Family Member to advise the Club of any children that come into the family subsequent to election of the parents to membership.
           
It shall be the responsibility of the member to advise the Club when temporary Military Service or undergraduate college work has been completed.
           
With the exception of death, all changes in members’ status shall be effective at the end of the dues (calendar) year in which the change takes place.
           
Re-election to membership of former members will be considered by the Board of Governors on a case-by-case basis.

Dues  
Annual dues are established each year by the Board of Governors and cover the calendar year from January 1 to December 31. 

Annual dues may be paid in full before January 1 or, at the option of the member, in installments during the calendar year at such times as are approved by the Board of Governors.

Age is determined as of December 31.  For couples, the membership category is based on the age of the oldest member.

  • Categories for members who are 50 or older and whose youngest child is 16 or older and who have been members for a minimum of 10 years.
  • Categories available after 20 years of membership.
  • Temporary Military Service exemptions shall extend to the end of the dues year following severance from Military Service.
  • Any Junior member in accordance with the Club By-Laws automatically becomes a Senior member upon reaching the age of 21. If that Junior member is a full time student they shall be exempt from paying club dues providing their parents maintain a family EFC membership.
 
 
Initiation
A one-time initiation fee is payable in full upon election to membership or, at the option of the member in installments as approved by the Board of Governors.
           
A Junior Member becoming a Senior Member by virtue of the provisions of ARTICLE 1, Section 4, of the By-Laws shall not be required to pay an additional initiation fee.

Refund of Membership Certificate
A member will be refunded his or her Membership Certificate upon resigning from the Club in good standing pursuant to ARTICLE II, Section 5, of the By-Laws.

However refunds can only be made when the total balance of Membership Certificate funds on the Club’s balance sheet exceeds $1,000,000.00.
 
 
Facilities Enhancement Fund (FEF)
Charges for the Facilities Enhancement Fund (FEF) are established by the Board of Governors for each fiscal year.  FEF is billed on a monthly basis and are payable upon receipt. 

Facilities Enhancement Funds (FEF) will be segregated from other Club funds and separately accounted for.

Members, who change to the lifetime category after December 31, will continue to be responsible for payment of non-dues charges, fees and assessments, including the Employees’ Christmas Fund, the Facilities Enhancement Fund, and any other fees and assessments as determined by the Board.
 
In lieu of gratuities, the Board of Governors may at its discretion, by a majority vote, levy an annual contributory charge for an Employees’ Christmas Fund.
 
 
Committee Structure and Appointments
The Board of Governors has established the following standing Committees, each of which shall have a Chairperson or Chairpersons and a number of members to be determined by the Chairperson and the responsible Governor:

Any Club member in good standing may serve as a committee member or chairperson.
           
Committee chairpersons shall be appointed by the Board.  The responsible Governor may serve as chairperson.
           
Committee members shall be appointed by the responsible Governor in consultation with the Committee Chairperson(s).  Appointments shall be confirmed by the Board.
          
Committee appointments, including that of the chairperson, are for a period of one year.  A committee Chairperson may serve no more than three consecutive one-year terms in that role.  Exceptions require formal approval of the Board of Governors.
           
A member may serve no more than six one-year terms (including a term or partial term as Chairperson) on any committee without formal approval of the Board.
  
 
 
Rights and Obligations of Members
No person not a member shall have the privilege of the Club House and Grounds except that (a) a non-member may be a guest at the Club of a member for two days
only in any month; or (b) a non-member may be the guest of a member on behalf of himself and a group or organization with which he is associated, upon rental of the Club House and grounds for a specific occasion with the consent of and upon terms settled by the Governor responsible for rentals; (c) a non-member may be granted Seasonal guest privileges at the discretion of the Board of Governors (see “Seasonal Guest Privileges”); or (d) a non-member may participate in Club-sponsored bridge activities in accordance with procedures established by the Governor of Bridge.
           
The name of the guest together with the date shall be entered in the guest book kept in the Steward’s Booth and a guest fee per day shall be paid when a non-member is brought onto the grounds to utilize the Club’s athletic facilities, except in the case of a Club rental or a Club function for which a fee is or has already been charged.
           
It is the intent of this rule that the number of guests of any member at one time at any of the Club facilities shall be reasonable under the circumstances so as not to crowd facilities or unduly interfere with the enjoyment by the membership.  When more than ten guests are involved on any one date, section (b) shall apply.

All members are expected to display common courtesy and engage in safe, respectul and appropriate behavior at all times. The Club is committed to promote a safe environment for its members and employees. The Club has a zero tolerance policy and will not tolerate physical violence that occurs on the Club's facilities. All members and their guests are expected to comply with this policy. Any violation of this policy will be considered detrimental to the best interest of the Club and grounds for expulsion from membership.
           
Non-resident members may use Club facilities for no more than 20 days per calendar year.  Non-resident members may register for Club programs and events only after other Senior, Family and Advanced Senior members and Seasonal Guests have registered.

Any member may be suspended or expelled from membership by the Board of Governors by reason of non-payment of dues, initiation fee, or other indebtedness to the Club, when in arrears thereof for one month or more, if (a) the name of such member is posted on the Club Bulletin Board for at least one week, (b) the member is notified by mail of the arrears and of such posting, and (c) full payment of the amount in arrears is not made within one month after the mailing of the notification.
           
In case of conduct deemed by the Board to be detrimental to the best interest of the Club, any member may be admonished by the Board by written notice directed to such member, or, after a hearing before the Board of Governors, of which the member shall be given two weeks written notice, may be suspended or expelled from membership by vote of eight members of the Board.  Any member suspended or expelled for any reason may be reinstated upon unanimous vote of the Board, and payment in full of any indebtedness to the Club.
           
No resignation shall take effect until the end of the Club year unless the resigning member completes payment of dues for the entire year, except with the consent of the Board of Governors.
             
If any of the Club facilities are unavailable for use by the members due to fire, casualty, weather or other similar experience beyond the Club’s control, the members will continue to be liable for the payment of all dues and relevant fees.
 
  



Seasonal Guest Privileges
Non-members granted seasonal guest privileges are not required to sign the guest book kept in the Steward’s Booth.

Seasonal guests have all Club privileges and responsibilities except the privileges of voting on Club business and playing in Championships.  Guest are eligible for only one season.

Club Management
Offers of employment by the Club, including contracts for Club professionals, may be extended only by the Club Manager with the prior approval of the Board of Governors.
           
Members’ children may be hired as seasonal or temporary part time employees, or for ad-hoc purposes or events, in accordance with procedures established by the Club Manager and approved by the Board.  Opportunities for such employment will be communicated to all members in a timely fashion.

The ENGLEWOOD FIELD CLUB a corporation incorporated under an act to incorporate Boat Clubs and other Associations for the promotion of Athletic Exercises being chapter 76, of the Laws of 1876, and the supplement thereto being Chapter 3, Laws of 1996, desiring to become incorporated under an Act respecting Associations not for Pecuniary Profit, approved April 21st, 1898 and the amendments thereof and the supplements thereto.

NOW THEREFORE this sis to certify that the undersigned being a majority of the Trustees of the said corporation and acting pursuant to resolutions adopted at the annual meeting of the said corporation held January 21st, 1915 do hereby associate themselves into a corporation under and by virtue of the provisions of an Act of the Legislature of State of New Jersey entitled, “An Act to Incorporate Associations not for Pecuniary Profit” approved April 21st, 1898 and the several supplements thereto and acts amendatory thereof.

FIRST:  The name of this corporation is “ENGLEWOOD FIELD CLUB.”
SECOND:  The purposes for which this corporation is formed are to promote social recreation and intercourse among its members; to encourage an interest in athletic and other country sports; and to maintain a country club with the usual and necessary facilities and accommodations for the use and enjoyment of its members.

THIRD:  The location of the principal office of this corporation is at the Club House of he corporation, on Engle Street, Englewood, Bergen County, New Jersey, and the name of the agent therein and in charge thereof upon whom process against the corporation may be served is the Club Manager or Secretary.

FOURTH:  The number of Trustees of this corporation is eleven.

FIFTH:  The names of the Trustees selected for the first year of the existence of this corporation are:  Arthur C. Sherwood, August A. Goubert, H. Rowland Vermilye, Murray Olyphant, Cameron Blaikie, Oscar W. Jeffrey, E. Eversley Bennett, Edward S. Brockie, Douglas F. G. Eliot.    
 
The undersigned as of January 19, 1949 being all of the Trustees of Englewood Field Club, a New Jersey corporation, organized in 1916 under the provisions of the act above referred to, entitle, "An Act to Incorporate Associations not for Pecuniary Profit," whose certificate of incorporation was executed, recorded and filed in 1916 by a majority of the above named Trustees, and is herewith amended only as to Article FOURTH thereof by changing the number of Trustees from nine to eleven, do hereby, to this amended certificate of incorporation, set their hands and seals this 19th day of January, 1949.
